This presentation will be in lecture format. Andrew Kussmaul will be the sole speaker and will discuss some of the more important terms in a terms sheet and what founders need to know about them. The presentation will dissect these important terms so founders can understand what they truly mean as well as provide founders practical advice when it comes to negotiating these terms. The presentation will break down the important terms into two main categories: Key Economic Terms and Key Control Terms. The Key Economic terms portion of the presentation will cover the more important and common economic terms in a term sheet. These include the Price/Valuation, the Option Pool, the Liquidation Preference, and Anti-Dilution provisions. The Key Control Terms portion of the presentation will cover the more important and common control terms in a term sheet. These include the Board of Directors, Protective Provisions, Drag Along Rights, and Conversion terms. The presentation will conclude with some parting practical advice when it comes to negotiating these terms with investors.
